Monmouth County NJ Business License: County Board of Health, Trade Names and Middletown's Business CO

If you searched for a monmouth county business license, the short answer is that Monmouth County does not issue one. New Jersey has no general statewide business license, and its counties license nothing. What you actually need depends on how your business is organized, where it operates, and what it does. This guide covers the three filings that cause the most confusion in Monmouth County: trade names, health department approval through the Monmouth County Board of Health, and Middletown's Business CO.

Disclaimer: This guide is informational content, not legal or tax advice. Confirm current fees and rules with the named agency before you file or pay.

Start with the state, not the county

Every business in New Jersey starts with state paperwork. If you form an LLC or corporation, you file a Certificate of Formation or Certificate of Incorporation through the Online Business Entity Filing portal on the NJ Business Portal. Formation costs $100 for an LLC or corporation as of July 1, 2026. If you saw $125 in an older guide, that figure is out of date. The annual report costs $75 and is due every year by the last day of the month in which the business was formed. Two consecutive missed years lead to revocation.

Next, complete tax and employer registration with the Division of Revenue on Form NJ-REG. That produces your New Jersey tax identification number and, where applicable, a sales tax certificate of authority. The state sales tax rate is 6.625%.

The Business Registration Certificate (BRC) is the one document that confuses people most. Despite the name, it is not a license. It is proof of NJ-REG tax registration. A separate BRC is required for a narrow group: contractors and subcontractors doing business with the State and other public agencies, unincorporated construction contractors working in New Jersey, and applicants for Casino Control Commission licensure.

ItemCostNotes
LLC Certificate of Formation$100Filed through the NJ Business Portal
Corporation Certificate of Incorporation$100Same portal
Annual report (LLC or corporation)$75Due by the last day of the anniversary month
Name reservation$50Holds a name for 120 days, renewable
Alternate name (DBA) for an LLC, corporation, LP or LLP$50, plus $50 renewalFiled with the state
Change of registered agent or office$25Also applies when an agent resigns without a successor

Your name must include a designator such as LLC, L.L.C., Limited Liability Co. or Limited Liability Company. It must be distinguishable from every other name in the state database. The Division of Revenue and Enterprise Services checks availability during review and will add a designator if you leave one off. Your registered office must be a New Jersey street address. You must name exactly one registered agent, either an individual or a business entity registered and in good standing with the State Treasurer. A PO box can be used only if the street address is listed too.

New Jersey has no publication requirement for forming an entity. Online filings are usually entered in roughly one business day. Mailed filings take longer.

Trade names: where Monmouth County comes in

Whether you file a trade name with the county or the state depends on your legal structure. Sole proprietors and general partnerships file with the Monmouth County Clerk. LLCs, corporations, limited partnerships and LLPs file an Alternate Name Registration with the state for $50, with a $50 renewal. Filing with the wrong office is a common mistake, and an LLC that files a DBA with the county clerk has not registered the name the way the state requires.

County trade name fees are set by each county clerk, so confirm the current Monmouth County Clerk fee before you file. The state's rules for alternate names are at business.nj.gov/pages/business-names.

Monmouth County Board of Health: find your town first

The Monmouth County Board of Health is the local health department for 32 towns, including Middletown, Asbury Park, Red Bank and Howell. If your business involves food service or another activity the health department regulates, that office is usually the first local approval to sort out.

Not every town uses the county board. Long Branch runs its own health department. Freehold operates as a regional health department, Colts Neck has its own, and the towns served by the Jersey Shore Regional Health Commission have their own arrangement. A search for a monmouth county health department can therefore point you to the wrong office for a Long Branch or Colts Neck address. Confirm which health authority covers your exact street address before you sign a lease or buy equipment.

Middletown: the Business CO

The middletown nj business license question usually ends at the Business CO (BCO). Middletown requires a BCO for every commercial occupancy. For non-residential properties undergoing a change of occupancy, it also requires a CCO. Under Ordinance #1125 (application dated 10/10/2025), the fee is $250, which is non-refundable, plus $75 for each reinspection.

The non-refundable part matters. You pay the $250 whether or not the space passes on the first try, and every failed reinspection adds another $75. Get the space ready before you apply, and confirm the current fee schedule and checklist with Middletown Township, because municipal fees change.

Red Bank, Asbury Park and Long Branch

Each shore-area city has its own profile, so a red bank business license, an asbury park business license and a long branch business license each follow different paths.

  • Red Bank: Red Bank is among the towns the Monmouth County Board of Health serves, so start health questions there. Occupancy and zoning steps belong to the borough, so ask Red Bank directly before you sign a lease.
  • Asbury Park: Health services come from the county board. Asbury Park is an Urban Enterprise Zone (UEZ). Zone benefits depend on eligibility rules, so ask the city and the state before you count on them.
  • Long Branch: Long Branch runs its own health department, so the county board is not your contact for health approvals. Long Branch is also a UEZ, which carries the same caution about eligibility.

Shore short-term rental and hotel taxes

If you plan to rent space by the night, check local tax rules before you list. Keansburg, a Monmouth County shore town, has imposed a 3% hotel and short-term rental tax since May 1, 2025. Other shore towns set their own rules, so confirm each municipality's current rate and registration process. Local hotel and short-term rental taxes are separate from the state sales tax.

Licenses that come from other agencies

Because New Jersey issues no general business license, many owners assume they are clear after the state and county steps. That is not always true. Many occupations need a professional or industry license from the Division of Consumer Affairs or another agency. Those licenses are separate from your entity filing and your municipal certificates, so check the rules for your trade before you advertise services.

One common mix-up involves notaries. A notary public commission does not authorize you to officiate weddings in New Jersey. If you plan to offer ceremonies, confirm which credential applies with the state before you market the service.

Monmouth County business checklist

  1. Confirm your entity type and file the Certificate of Formation or Certificate of Incorporation ($100).
  2. Name a registered agent and list a New Jersey street address for the registered office.
  3. File a trade name if you operate under a name other than your legal name. Sole proprietors and general partnerships file with the Monmouth County Clerk. LLCs and corporations file with the state.
  4. Complete NJ-REG tax and employer registration with the Division of Revenue.
  5. Confirm which health department covers your street address, then apply for any approval it requires.
  6. Ask your municipality whether a Business CO, CCO or other local certificate applies. In Middletown, budget $250 for the BCO before any reinspection fees.
  7. Check for professional or industry licenses and any local hotel or short-term rental tax.
  8. Calendar the $75 annual report for the last day of your anniversary month.

When to bring in a professional

If you have multiple owners, a home-based operation under a lease, a licensed trade, or a rental with hotel tax exposure, talk to a New Jersey attorney and a CPA before you file. A short consultation costs far less than unwinding a wrong entity choice or a misfiled trade name. Local advising is also available through the NJ Small Business Development Centers.
